We are looking to complete our team with a Corporate Governance Manager!

 

Key Responsibilities:

 

  • Organizing and coordinating the activities of Corporate Governance Department;
  • Supporting the management of the Bank in order to implement and maintain good corporate governance;
  • Develops and manages the relationship between the Executive Management, Board of Directors (and its committees), shareholders, authorities and other beneficiaries, by the case;
  • Acts as a single point of contact and facilitator of the communication between the Bank’s management structure and the National Bank of Romania on corporate governance issues and on annual supervision missions, managing, in the same time, the relations and communication with the supervision authorities, local banking association, other banking related institutions;
  • Participate in new projects that involves NBR/FSA/other competent authorities approvals/notifications (. share capital increase, changes of the object of activity, bond issuance, merger, etc.);
  • Participate in the preparation process of internal rules/ procedures/ regulations/ projects in order to meet the requirements of a good corporate governance in all the Bank’s activity segments;
  • Identify the changes in the organizational structure of the Bank and elaborate an inventory of regulations affected by the new organizational structure, identifying process owner in accordance with the Functioning Regulation and follows the implementation of changes;
  • Communicates to the structures of the Bank the decisions of the meetings to be implemented and the associated deadlines;
  • Follows up the terms set up for fulfillment with the Bank’s structure and communicates to the management of the Bank the status of the decisions implementation.

 

Qualification and abilities:

 

• Bachelor Degree in Legal;

• Minimum 3-5 years in the banking corporate governance field; 

• Very good command of English;

• Organizational capacity, capacity for analysis and synthesis in the decision-making process, ability to interact with other people, creativity, ability in planning and organizing the activity, adapting and responding to change, overall thinking, thinking systemic, strategic thinking.
