Legal Counsel (2-year contract)

For our Cluj office, we are looking for a Legal Counsel to act as support for the global Sales Team in drafting and negotiation the license and support contracts, for a determined period of 2 years.

This person will report to the Legal Director.

Responsibilities:

• Providing hands-on legal assistance in structuring and drafting, negotiating, interpreting, managing, and enforcing complex and high value commercial transactions, including licensing and software arrangements (including SaaS services and related implementation agreements), master services agreements and related statements of work, partnering, reseller and strategic alliance arrangements, and vendor and consulting agreements
• Negotiating high value deals opposite banks and large financial institutions
• Working closely with the management team and sales leaders of the business unit on customer contracts, as well as other general commercial, corporate, and contractual matters. Advising on regulatory compliance and dispute matters
• Providing comprehensive legal counseling regarding a broad spectrum of corporate, commercial, and intellectual property matters impacting the businesses, including legal issues related to SaaS, on premise software license and professional service offerings and strategic relationships
• Counselling with respect to regulatory and compliance matters impacting the businesses, including the European Banking Authorities outsourcing guidelines, MaRisk, data privacy regulations (. GDPR), sanctions (. . and . Sanctions Programs) and FCPA
• Provides routine legal advice and services on issues concerning the rights, obligations, and privileges of the organization
• Resolves less complex business or technical issues by identifying legal solutions and recommending a course of action
• May represent the organization to customers, suppliers, competitors, and government agencies
• Performs research and assists in preparing legal documents prior to execution to accurately express company intent
• Examines legal data to determine advisability of defending or prosecuting lawsuits
• Studies current legal publications from legal reporting services and advises management of changes
• Understands legal fundamental theories, principles and concepts and performs structured work assignments
• Develops competence by performing structured work assignments
• Utilizes existing procedures to solve routine or standard problems; receives instruction, guidance, and direction from others

Qualifications and Skillset:

Education

• Bachelor’s degree in law

 Essential:

• Experience 3-5 years, preferable in contract law or as a legal counsel
• Detail oriented, with excellent organizational skills
• Able to work on multiple projects simultaneously
• Fluency in English and French is ideal
• Able to work both independently and in a team

 Desirable:

• Experience in English and French speaking legal environment
• Hands-on approach, can-do attitude
• Excellent communication (written and oral) and interpersonal skills
